Franchisors

We represent franchisors of any size, and prepare franchise offering circulars (FOC), franchise agreements, and ancillary agreements. We register franchises and FOC in all fourteen registration states. For non-registration states, we can alert you to fees (if applicable), and prepare necessary documentation.

You do not need to currently have multiple locations to offer a franchise. If you have even one prototype you want to franchise, an experienced California franchisors' attorney can help with the process. Outside consultants may not mention until their work is done, that you need a franchise attorney in your state to review the work

We have negotiated master license agreements in more than sixty countries over nearly five years of corporate work at Mail Boxes Etc. ® (now known as the UPS Store®). We created entire FOC and franchise agreements while representing franchisors in many different industries, including but not limited to retail apparel stores, restaurants, pet grooming, gourmet desserts, mortgage services, real estate services, dance studios, children activity centers, business consulting, fast food, and day spas.

We can negotiate master franchise agreements internationally. We can prepare both individual and area franchise agreements (which facilitate the sale of franchises in a designated territory). Our services to you can include the FOC renewal process in other states, for a modest fee.

The Federal Trade Commission (FTC) passed new regulations in January. Franchisors have between July 1, 2007 and July 1, 2008 to comply. The new law includes substantive changes to FOC, new delivery requirements for FOC, new electronic delivery available, new exemptions and drafting requirements.

Franchisees

We review franchise agreements for franchisees, and negotiate with franchisors. We will translate complicated language to explain to you exactly what you are signing. Are there unusual or unfair provisions? You will clearly understand, with our help.

We have represented franchisees of Subway, Quizno's, and Cinnabon to name a few. Our knowledge of franchising will put you at an advantage. For example, you may be told that the FOC is non-negotiable. Even so, provisions can be interpreted in advance, in your favor. We also handle the buying and selling of franchises.
